These Terms of Use (“Terms”) govern your access to and use of the RyzerX website, software platform, APIs, investor portals, white-label deployments, digital asset workflows, exchange infrastructure, AI-powered compliance tools, and any related products or services made available by RyzerX.
RyzerX provides institutional software infrastructure designed to help asset issuers, fund managers, real estate sponsors, private equity firms, commodity issuers, fintech platforms, custodians, distributors, and regulated financial institutions structure, issue, distribute, manage, and scale tokenized real-world assets across global private markets.
By accessing the RyzerX website, requesting a demo, creating an account, integrating our APIs, onboarding investors, deploying white-label infrastructure, or using any RyzerX products or services, you confirm that you have read, understood, and agree to be legally bound by these Terms of Use. If you do not agree with these Terms, you must not access or use RyzerX services.
Who Can Use RyzerX
RyzerX services are intended for business users, institutions, professional investors, regulated entities, asset issuers, financial intermediaries, technology partners, and individuals acting in a professional or authorized capacity.
By using RyzerX, you represent and warrant that you are at least eighteen years of age, have the legal authority to enter into binding agreements, and are authorized to act on behalf of your organization where applicable.
RyzerX may restrict, deny, or suspend access to users located in restricted jurisdictions, sanctioned regions, or jurisdictions where digital asset activities may be prohibited by law.
About RyzerX Services
RyzerX provides software and digital infrastructure for the lifecycle management of real-world assets and private market instruments. Our services may include regulatory workflow automation, asset structuring tools, investor onboarding, KYC and AML workflows, white-label platform deployment, token issuance, cap table management, digital custody integrations, reporting tools, settlement infrastructure, secondary market connectivity, API access, analytics dashboards, and AI-powered compliance assistance.
RyzerX supports asset classes including real estate, funds, private equity, venture capital, private credit, bonds, structured debt, commodities, pre-IPO opportunities, public market wrappers, and intellectual property rights.
RyzerX may add, modify, suspend, or discontinue features, modules, integrations, or product functionality at any time as part of ongoing platform development.
Account Registration and Access
Certain RyzerX services require account registration. When creating an account, you agree to provide accurate, complete, and current information.
You are responsible for maintaining the confidentiality of your login credentials, administrator permissions, API keys, and access tokens. You agree to notify RyzerX immediately if you suspect unauthorized access, credential compromise, or account misuse.
You are responsible for all activities that occur under your account unless you can demonstrate unauthorized access caused solely by RyzerX.
RyzerX reserves the right to suspend, restrict, or terminate access where suspicious activity, security risks, fraudulent behavior, misuse, or violations of these Terms are detected.
Permitted Use
RyzerX grants you a limited, non-exclusive, revocable right to access and use our services solely for legitimate business purposes, investor servicing, regulated financial activities, asset issuance, compliance workflows, operational reporting, and other authorized commercial purposes.
You may use RyzerX to structure digital assets, onboard investors, conduct regulated issuance workflows, monitor asset performance, manage investor records, distribute reports, access analytics, and integrate approved third-party financial infrastructure.
Your use of RyzerX must comply with applicable laws, regulations, contractual obligations, and industry standards.
Prohibited Activities
When using RyzerX, you agree not to misuse the platform, interfere with operations, or engage in activities that could harm RyzerX, other users, investors, regulators, or financial markets.
You may not use RyzerX to conduct unlawful securities offerings, fraudulent fundraising, misleading investor communications, money laundering, sanctions evasion, terrorist financing, market manipulation, insider trading, unauthorized custody services, unlicensed broker-dealer activity, deceptive token issuance, or any activity prohibited by applicable financial laws.
You may not copy, scrape, reverse engineer, decompile, modify, reproduce, extract source code, build competing products, circumvent access controls, overload APIs, exploit vulnerabilities, or attempt unauthorized access to RyzerX systems.
You may not upload malicious code, interfere with network security, disrupt platform availability, or attempt to compromise the confidentiality, integrity, or availability of RyzerX infrastructure.
Regulatory Responsibility
RyzerX provides software infrastructure, workflow automation, analytics, and compliance tooling. RyzerX is not a law firm, broker-dealer, investment adviser, tax adviser, custodian, transfer agent, exchange, bank, or regulated financial intermediary unless explicitly stated otherwise.
You remain solely responsible for ensuring that your asset issuance, investor onboarding, fundraising activities, securities offerings, cross-border transactions, tax reporting, disclosures, and jurisdictional operations comply with all applicable laws and regulations.
Any outputs generated by RyzerX Juris AI or other automation tools are provided for workflow assistance only and do not constitute legal advice, tax advice, investment advice, or regulatory approval.
You should consult qualified legal, compliance, tax, and regulatory professionals before launching any investment product or tokenized asset.
Investor and Asset Data
You retain ownership of the data, documents, branding materials, investor records, financial records, offering materials, transaction records, and operational content you upload to RyzerX.
You represent that you have all necessary rights, permissions, and lawful authority to upload, process, share, and manage such information through the RyzerX platform.
RyzerX may process your information as necessary to provide services, maintain platform security, generate analytics, comply with legal obligations, and improve product functionality in accordance with the RyzerX Privacy Policy.
Blockchain and Digital Asset Risks
RyzerX may integrate with blockchain networks, smart contracts, custodians, digital wallets, exchanges, and decentralized settlement infrastructure.
You acknowledge that blockchain transactions may be irreversible, publicly visible, technically complex, and subject to operational, market, cybersecurity, and regulatory risks.
RyzerX does not guarantee token valuations, market liquidity, investor participation, secondary trading volume, exchange listings, settlement speed, or regulatory approval of digital assets launched using the platform.
Digital assets may be subject to price volatility, technical failures, smart contract risks, custody risks, counterparty risk, and changing legal frameworks.
White-Label Deployments
If you use RyzerX through a white-label deployment, your relationship may also be subject to agreements with the institution operating the branded platform.
RyzerX may act as technology provider, processor, infrastructure operator, or integration layer for partner institutions.
Additional platform-specific policies, compliance obligations, and disclosures may apply.
API and Developer Access
If you receive API or developer access, you may use RyzerX APIs solely for approved integrations, reporting workflows, investor automation, compliance synchronization, and platform extensions.
API usage may be subject to authentication requirements, rate limits, usage thresholds, security reviews, and technical restrictions.
RyzerX reserves the right to monitor, throttle, restrict, or terminate API access where abnormal usage, abuse, security risks, or unauthorized integrations are identified.
Intellectual Property
All RyzerX software, platform architecture, APIs, documentation, workflows, algorithms, AI models, user interfaces, visual designs, trademarks, product names, logos, graphics, reports, and proprietary technologies remain the exclusive property of RyzerX.
Nothing in these Terms transfers ownership of RyzerX intellectual property.
You may not reproduce, distribute, modify, create derivative works, or commercially exploit RyzerX intellectual property without prior written authorization.
Third-Party Integrations
RyzerX may integrate with custodians, banking partners, compliance providers, exchanges, identity verification vendors, analytics providers, blockchain networks, and other third-party service providers.
RyzerX is not responsible for the performance, availability, security, pricing, regulatory status, or policies of third-party services.
Your use of third-party integrations may also be subject to separate agreements and policies.
Service Availability
RyzerX aims to provide reliable, enterprise-grade infrastructure. However, platform availability may be affected by scheduled maintenance, upgrades, regulatory changes, network issues, cyber threats, third-party outages, blockchain congestion, force majeure events, or infrastructure dependencies.
RyzerX does not guarantee uninterrupted access unless covered under a separate enterprise service level agreement.
Fees and Billing
Access to certain RyzerX services may require payment under subscription plans, transaction-based pricing, enterprise licensing, white-label deployment fees, API usage fees, professional services agreements, or revenue-sharing arrangements.
Payment terms, billing cycles, renewal conditions, user limits, and service scope will be outlined in your applicable commercial agreement.
Failure to make timely payments may result in restricted access, suspension, or termination of services.
Suspension and Termination
RyzerX may suspend, restrict, or terminate access immediately where we reasonably believe that:
these Terms have been violated,
fraudulent or suspicious activity has occurred,
regulatory violations are identified,
payment obligations remain unpaid,
platform security is at risk,
intellectual property rights are being infringed,
or continued access creates operational or legal risk.
Upon termination, your right to access RyzerX services immediately ends unless otherwise required by law or contract.
Disclaimer of Warranties
RyzerX services are provided on an “as available” and “as is” basis.
To the maximum extent permitted by law, RyzerX makes no warranties regarding uninterrupted operation, error-free performance, market adoption, investor participation, fundraising outcomes, regulatory approvals, exchange listings, liquidity outcomes, token valuations, or compatibility with all third-party systems.
Limitation of Liability
To the fullest extent permitted by law, RyzerX shall not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from your use of the platform.
RyzerX’s total liability for claims arising under these Terms shall not exceed the total fees paid by you to RyzerX during the twelve months preceding the claim.
Indemnification
You agree to defend, indemnify, and hold harmless RyzerX, its affiliates, employees, officers, partners, licensors, and service providers against claims, liabilities, losses, damages, regulatory penalties, investor disputes, legal actions, or expenses arising from your use of the platform, your asset offerings, your regulatory obligations, or your breach of these Terms.
Changes to These Terms
RyzerX may update these Terms of Use periodically to reflect platform changes, product enhancements, regulatory developments, or legal requirements.
Material updates may be communicated through email, platform notifications, account notices, or website updates.
Continued use of RyzerX services after updates constitutes acceptance of the revised Terms.
Governing Law
These Terms shall be governed by the laws specified in your commercial agreement, enterprise contract, or applicable RyzerX operating entity.
Where no separate agreement exists, disputes shall be governed by the laws of the applicable RyzerX contracting jurisdiction.
